Western Digital Announces Q1 Revenue of $3.8 Billion

Western Digital Corp. today reported revenue of $3.8 billion and net income of $495 million, or $2.05 per share for its first fiscal quarter ended Sept. 27, 2013. On a non-GAAP basis, net income was $514 million or $2.12 per share. In the year-ago quarter, the company reported revenue of $4.0 billion, net income of $519 million, or $2.06 per share. Non-GAAP net income in the year-ago quarter was $594 million, or $2.36 per share.

The company generated $680 million in cash from operations during the September quarter, ending with total cash and cash equivalents of $4.9 billion. During the quarter, the company utilized $150 million to buy back 2.3 million shares of common stock. On Sept. 19, the company declared a $0.25 per common share dividend, which was paid on Oct. 15.

Western Digital Completes Acquisition of Virident

Western Digital Corp. announced today that it has completed the acquisition of Virident Systems, Inc., a leading provider of server-side flash storage for virtualization, database, cloud computing, and webscale applications. Virident will be integrated into HGST, a wholly owned subsidiary of Western Digital. The acquisition furthers HGST's strategy to address the rapidly changing needs of enterprise customers by delivering intelligent storage solutions that maximize application performance by leveraging the tightly coupled server, storage and network resources of today's converged datacenter infrastructures.

The Virident acquisition follows HGST's recent purchase of sTec, an early innovator in enterprise solid-state drives (SSDs) and VeloBit, an advanced I/O optimization software company. These investments expand HGST's presence in the rapidly growing and strategic enterprise SSD space, which IDC predicts will grow from $2.5 billion in revenue in 2012 to $7.2 billion in revenue by 2017.

HGST Starts Shipping the MegaScale DC Hard Drives

HGST, a Western Digital company, today announced that it is shipping its new MegaScale DC 4000.B, a 3.5-inch, 4 TB, 6 Gb/s SATA hard disk drive (HDD). As the company's second-generation MegaScale drive, the new MegaScale DC 4000.B has been further optimized based on customer feedback to meet the explosive growth of infrequently accessed data, while balancing the right mix of power, capacity, performance and reliability. As part of a tiered storage strategy, the MegaScale DC 4000.B is designed for low-workload applications such as bulk storage for unstructured or big data, disk-to-disk backup, online archives, or long-term data retention where cost-per-GB, watt-per-GB and GB-per-square foot are critical parameters.

Western Digital Introduces New Ultra-compact Network Storage Plus Servers

WD, a Western Digital company (NASDAQ: WDC) and world leader in digital storage solutions, today expanded its small- and medium-sized (SMB) storage solution portfolio with the introduction of the new WD Sentinel DS5100 and WD Sentinel DS6100 (S-series) ultra-compact network storage plus servers. The WD Sentinel S-series features high-performance Intel Xeon processors and are pre-installed with Windows Server 2012 R2 Essentials. All WD Sentinel network storage products feature WD enterprise-class hard drives and these 4-bay WD Sentinel S-series desktop appliances offer up to 16 TB of raw storage. Additionally, unlike traditional NAS systems, the WD Sentinel S-series allows small businesses to run line-of-business applications on their network storage platform.

HGST Ships New Endurastar Automotive Hard Drive

HGST today announced that it is shipping its new Endurastar J4K320 family, a single-platter hard disk drive (HDD) specifically designed for the automotive infotainment and telematics markets. As HGST's sixth generation automotive HDD, the new Endurastar J4K320 family is based on proven technology, provides the industry's highest automotive HDD capacity at 320GB (220% more capacity than its predecessor) and is built to operate in extreme and varying temperatures and altitudes.

The requirements for automotive-class hard drives are quite different from hard drives designed for personal computers or other stationary consumer electronic devices. These drives must go through a stringent qualification process as in-car manufacture installations or after-market solutions can face the most extreme conditions - from high altitudes in the Alps to searing heat in the Sahara Desert. The Endurastar J4K320 operates at altitudes of up to 5500 meters (18,044.62 feet), supports an operating temperature range of -30°C to +85°C (-22°F to 185°F), and has improved operating shock tolerance of 300G (2ms) and a non-operating shock of 800G (ms) for extra reliability and data protection when driving on damaged or unpaved roads.

Western Digital CFO Wolfgang Nickl To Resign In November

Western Digital Corp. today announced that chief financial officer Wolfgang Nickl is resigning effective Nov. 17, 2013 to become chief financial officer at ASML Holding N.V. (ASML) in the Netherlands. Nickl has served as Western Digital's chief financial officer since August 2010. Prior to that time, Nickl served in other positions within the company's finance and operations groups. Nickl will continue to direct WDC's worldwide finance activities until his departure date.

In joining ASML, Nickl will be returning with his family to his native Europe. The company is in the process of conducting a search for a new chief financial officer.

Western Digital Board Declares Dividend for September Quarter

Western Digital Corp. today announced that the board of directors declared a cash dividend for the quarter ending Sept. 27, 2013, of $0.25 per share of common stock (the "cash dividend"). The cash dividend will be paid on Oct. 15, 2013, to the company's stockholders of record as of Sept. 30, 2013.

The amount of future dividends under the company's dividend policy, and the declaration and payment thereof, will be based upon all relevant factors, including the company's financial position, results of operations, cash flows, capital requirements and restrictions under the company's existing credit agreement, and shall be in compliance with applicable law. The board retains the power to modify, suspend or cancel the company's dividend policy in any manner and at any time as it may deem necessary or appropriate in the future.

SanDisk Appoints D. Scott Mercer to its Board of Directors

SanDisk Corporation (NASDAQ: SNDK), a global leader in flash memory storage solutions, today announced that is has appointed D. Scott Mercer to its board of directors. Mr. Mercer brings to SanDisk more than 30 years of experience in the technology industry, in both senior executive and board positions. Mr. Mercer also currently serves as a Director of Polycom, Inc. and QLogic Corporation. Previously, Mr. Mercer was the Chief Executive Officer, Director and Chairman of the Board of Conexant Systems, Inc., interim Chief Executive Officer and Director at Adaptec, Inc., and served as the Chief Financial Officer of Western Digital Corporation. Mr. Mercer also held senior operating and finance roles at Dell, Inc., LSI Corporation and PricewaterhouseCoopers. Mercer has previously held board positions at Palm, Inc., SMART Modular Technologies (WWH), Inc., Alantec Corporation, NetRatings, Inc., and several private companies. He holds a B.S. in Accounting from California Polytechnic University.

Western Digital Corporation Board Convenes In China

Western Digital Corp. (NASDAQ: WDC) announced today that its board of directors met in China, concluding two days in Beijing. The board is next traveling to Shenzhen SEZ, Guangdong Province, for site visits and additional meetings. "China is both a very important market for Western Digital as well as a key manufacturing base," said Steve Milligan, president and chief executive officer, Western Digital Corporation. "As China further develops its technology industries, we look forward to expanding our relationships with a wide range of Chinese entities for the benefit of our shareholders, as well as our Chinese partners."

Over the course of its two days in Beijing, the board discussed China's development and future trends with a diverse group of Chinese and international experts. A highlight of the Beijing portion of the visit was a meeting with Chinese Vice Premier Wang Yang. "The board is extremely impressed by China's growth and development plans, as explained by the Vice Premier, and appreciative of the support the Chinese government has extended to Western Digital Corporation in this exciting market," said Western Digital board chairman, Thomas E. Pardun. Pardun also added that it was important for the board to see firsthand Western Digital's operations in this key economy.

Western Digital Completes Acquisition Of sTec, Inc.

Western Digital Corp. announced today that it has completed the acquisition of sTec, Inc., an early innovator in enterprise solid-state drives (SSDs). sTec will be integrated into HGST, a wholly owned subsidiary of Western Digital. The acquisition augments HGST's existing solid-state storage capabilities, accelerating its ability to expand its participation in the rapidly growing area of enterprise SSDs.

Completion of the sTec acquisition follows HGST's recent purchase of VeloBit, an advanced SSD caching software company, and the proposed acquisition of Virident, an innovative provider of server-side flash storage solutions. Collectively these building blocks expand HGST's presence in the enterprise SSD space, which IDC predicts will grow from $2.5B in revenue in 2012 to $7B in revenue by 2017.

Western Digital Rolls Out WD Green 4 TB 3.5-inch Hard Drive

Keeping up with its product roadmaps, Western Digital rolled out WD Green 4 TB hard drive (model: WD40EZRX). Designed for personal desktops that need energy-efficient, high-capacity storage, the drive offers 4000 GB of unformatted space, which should yield about 3.6 TB under a Windows NTFS file-system. Built in the 3.5-inch form-factor, the drive features SATA 6 Gb/s interface, variable sub-6,000 RPM spindle-speeds, 64 MB cache, and acoustics management. When spinning and idling, the drive is designed to draw about 3.3W, which goes up to 4.5W under stress, and just 0.4W, when the drive is parked and spun-down. Available now, the WD Green 4 TB is priced between $170 and $190, depending on what package you choose.

Western Digital Expands Enterprise Flash Storage Portfolio Virident Acquisition

Western Digital Corp. and Virident Systems, Inc. announced today that they have entered into a definitive merger agreement under which Virident, a provider of server-side flash storage solutions, will be acquired by HGST, a wholly owned subsidiary of Western Digital. Virident will be acquired for approximately $685 million in cash. This represents approximately $645 million in enterprise value, net of Virident's estimated cash balance at closing.

WD Founds New Storage Association to Promote Magnetic Storage Technologies

WD, a Western Digital company, announced that it has founded the Storage Products Association (SPA) with other hard drive companies to promote the merits and value of rotating magnetic storage technologies, as well as to make consumers and professionals aware of how critical hard disk drives (HDDs) and solid-state hybrid drives (SSHDs) are to their digital lives.

SPA members include HGST, Seagate, Toshiba and WD. SPA will provide education to its customers, partners, members and users of HDDs and SSHDs. Western Digital Announces Fiscal Year Revenue Of $15.4 Billion

Western Digital Corp. today reported revenue of $15.4 billion and net income of $1.7 billion, or $6.75 per share for fiscal year 2013, compared to fiscal 2012 revenue of $12.5 billion and net income of $1.6 billion, or $6.58 per share. On a non-GAAP basis, fiscal 2013 net income was $2.1 billion or $8.53 per share, compared to fiscal 2012 net income of $2.1 billion or $8.61 per share.

For its fourth fiscal quarter ended June 28, 2013, the company reported revenue of $3.7 billion, hard-drive shipments of 59.9 million and net income of $416 million, or $1.71 per share. On a non-GAAP basis, net income was $477 million or $1.96 per share. In the year-ago quarter, the company reported revenue of $4.8 billion, net income of $745 million, or $2.87 per share, and shipped 71.0 million hard drives. Non-GAAP net income in the year-ago quarter was $872 million, or $3.35 per share.

Western Digital Acquires VeloBit

Western Digital Corporation has acquired privately held VeloBit, a provider of high-performance storage I/O optimization software. VeloBit will be fully integrated into HGST, a wholly owned subsidiary of Western Digital. Headquartered in Lincoln, MA, VeloBit enhances storage system performance with its software technology by adding a transparent acceleration layer utilizing solid state drives (SSDs). Financial terms of the transaction were not disclosed.
The acquisition builds on HGST's strategy to enhance the overall value of datacenter storage by integrating HGST SSDs with software. VeloBit's SSD caching software dramatically accelerates applications and increases server density by enabling higher I/O performance, lower latency, and more efficient usage of processor and storage resources.

Both the VeloBit acquisition and the proposed sTec acquisition by Western Digital reflect acceleration by its HGST subsidiary in the fast growing and strategic enterprise SSD space, augmenting its technology position and IP portfolio with additional engineering and design resources. "In VeloBit we saw a great team that has developed and commercialized breakthrough I/O optimization software," said Mike Cordano, president, HGST. "The acquisition of VeloBit is an important step in our strategy to develop robust software capabilities to augment our successful SSD product portfolio."

WD Launches Fourth Generation WD Arkeia Network Backup Appliances

WD, a Western Digital company and world leader in digital storage solutions, today unveiled the fourth generation of WD Arkeia network backup appliances, delivering an all-in-one backup and disaster recovery solution for small- and medium-sized businesses (SMBs). The new line up consists of four rack-mount appliance models with larger internal disk capacities, faster processors, increased memory, and integrated solid state drives (SSDs) to shorten backup time and accelerate data recovery. The bundled WD Arkeia v10.1 software delivers new support for "seed and feed" technology to support hybrid cloud backups. Western Digital Acquiring sTec to Expand Its Position in Enterprise SSD Market

Western Digital Corporation and sTec, Inc. announced today that they have entered into a definitive merger agreement under which sTec, Inc., an early innovator in enterprise solid-state drives (SSDs), will be acquired by HGST, a wholly-owned subsidiary of Western Digital. sTec will be acquired for approximately $340 million in cash, which equates to $6.85 per share. This represents approximately $207 million in enterprise value, net of sTec's cash as of March 31, 2013.

The pending acquisition augments HGST's existing solid-state storage capabilities, accelerating its ability to expand its participation in the rapidly growing area of enterprise SSDs. HGST remains committed to its highly successful joint development program with Intel Corp. and will continue to deliver current and future SAS-based SSD products with Intel.
