MaxLinear to Showcase Panther III at Future of Memory and Storage 2024 Trade Show

Intel Introduces Advisory Committee at Intel Foundry Direct Connect

During his keynote address today at Intel Foundry Direct Connect, Intel's inaugural foundry event, CEO Pat Gelsinger introduced four members of the company's Foundry Advisory Committee. The committee advises Intel on its IDM 2.0 strategy, including creation and development of a thriving systems foundry for the AI era.
The advisory committee includes leaders from the semiconductor industry and academia, two of whom are also members of Intel's board of directors:
  • Chi-Foon Chan, former Co-CEO of Synopsys; former Microprocessor Group general manager at NEC; director at PDF Solutions.

Silicon Motion Announces Results for the Period Ended December 31 2023

Silicon Motion Technology Corporation (NasdaqGS: SIMO) today announced its financial results for the quarter ended December 31, 2023. For the fourth quarter of 2023, net sales (GAAP) increased sequentially to $202.4 million from $172.3 million in the third quarter of 2023. Net income (GAAP) increased to $21.1 million, or $0.63 per diluted American Depositary Share of the Company ("ADS") (GAAP), from net income (GAAP) of $10.6 million, or $0.32 per diluted ADS (GAAP), in the third quarter of 2023. For the fourth quarter of 2023, net income (non-GAAP) increased to $31.3 million, or $0.93 per diluted ADS (non-GAAP), from net income (non-GAAP) of $21.1 million, or $0.63 per diluted ADS (non-GAAP), in the third quarter of 2023.

MaxLinear's Puma 8 DOCSIS 4.0 ESD/FDD Achieves Greater than 10Gbps Throughput

MaxLinear, Inc. (Nasdaq: MXL) today announced that Puma 8, its ESD/FDD DOCSIS 4.0 cable modem and gateway platform, delivers greater than 10 Gbps data throughput speeds as an Ultra DOCSIS 3.1 solution. Silicon Motion Announces Q3'23 Results, Sales Up 23% Compared to Previous Quarter

Silicon Motion Technology Corporation (NasdaqGS: SIMO) ("Silicon Motion", the "Company" or "we") today announced its financial results for the quarter ended September 30, 2023. For the third quarter of 2023, net sales (GAAP) increased sequentially to $172.3 million from $140.4 million in the second quarter of 2023. MaxLinear Announces Availability of Puma 8, its DOCSIS 4.0 Cable Modem and Gateway Platform

MaxLinear, Inc., a leader in broadband access solutions, today announced the availability of its DOCSIS 4.0 SoC cable modem and gateway platform, Puma 8. Puma 8 builds on the success of its DOCSIS 3.0 and 3.1 predecessors (Puma 6 and 7) and includes all critical elements of a DOCSIS platform, including a low-power, ultra-high split upstream PGA. The platform is compliant to the DOCSIS 4.0 frequency division duplex (FDD) specification and enables immediate large-scale deployments as a DOCSIS 3.1 device with gradual feature expansion options without the need for costly CPE replacements. Complete modem, Embedded Multimedia Terminal Adapter (EMTA), and gateway platforms will be available from MaxLinear's early access OEM partners in 2024.

MaxLinear's DOCSIS 4.0 platform stands out in the market as an energy-efficient, performance-optimized solution. Silicon Motion Provides More Details Regarding MaxLinear's Surprise Termination of the Merger Agreement

Silicon Motion Technology Corporation today disclosed additional details regarding MaxLinear's termination of its May 5, 2022 agreement to acquire the Company (the "Merger Agreement"). As previously disclosed, MaxLinear's July 26, 2023 notice of termination did not contain a factual basis for MaxLinear's claim that it was not obligated to close its acquisition of the Company because the Company's business had suffered a material adverse effect (as such term is defined under Delaware law (an "MAE")) and the Company had failed to operate its business in the ordinary course after the Merger Agreement was signed.

In the 15 months following the signing of the Merger Agreement, MaxLinear never once asserted, prior to sending its July 26, 2023 notice of termination, that there had been a material breach of the Merger Agreement, nor did it or its representatives ever mention an MAE or a breach of the ordinary course covenant.

Silicon Motion Terminates Merger Agreement with MaxLinear and Intends to Pursue Substantial Damages

Silicon Motion Technology Corporation ("Silicon Motion" or the "Company") today issued a written notice to MaxLinear, Inc. ("MaxLinear"), terminating the Agreement and Plan of Merger between the parties dated as of May 5, 2022 (the "Merger Agreement"1).

Silicon Motion's position is that MaxLinear's Willful and Material Breaches (as such term is defined in the Merger Agreement) of the Merger Agreement prevented the merger from being completed by August 7, 2023 (the "Outside Date"). Silicon Motion reserves all of its contractual, legal, equitable, and other rights under the Merger Agreement and otherwise, including but not limited to the right to hold MaxLinear liable for substantial money damages, well in excess of the termination fee as provided in the Merger Agreement, suffered by Silicon Motion as a result of MaxLinear's Willful and Material Breaches of the Merger Agreement.

Silicon Motion Wants to Merge with MaxLinear, Ready to Fight Termination in Court

Silicon Motion Technology Corporation (NASDAQGS: SIMO) ("Silicon Motion") on August 7 issued a written notice to MaxLinear, Inc. (NASDAQGS: MXL) ("MaxLinear"), in which Silicon Motion categorically rejected MaxLinear's purported termination of the Merger Agreement, and the assertions made by MaxLinear, in its letter of July 26, 2023. Silicon Motion will vigorously pursue its remedies, and reserves all rights under the Agreement and otherwise, including but not limited to the right to hold MaxLinear liable for substantial damages.

MaxLinear Announces Production Availability of Panther III Storage Accelerator OCP Adapter Card

MaxLinear, Inc., a leader in data storage accelerator solutions, today announced the production-release of the OCP 3.0 storage accelerator adapter card for Panther III. The ultra-low latency accelerator is designed to quicken key storage workloads, including database acceleration, storage offload, encryption, compression, and deduplication enablement for maximum data reduction. The Panther III OCP card is ideal for use in modern data centers, including public to edge clouds, enterprise data centers, and telecommunications infrastructure, allowing users to access, process, and transfer data up to 12 times faster than without a storage accelerator. The OCP version of the card is available immediately with a PCIe version available in Q3 2023.

For the second quarter of 2023, net sales (GAAP) increased sequentially to $140.4 million from $124.1 million in the first quarter of 2023. Net income (GAAP) increased to $11.0 million, or $0.33 per diluted American Depositary Share of the Company ("ADS") (GAAP), from net income (GAAP) of $10.2 million, or $0.30 per diluted ADS (GAAP), in the first quarter of 2023.

For the second quarter of 2023, net income (non-GAAP) increased to $12.6 million, or $0.38 per diluted ADS (non-GAAP), from net income (non-GAAP) of $11.2 million, or $0.33 per diluted ADS (non-GAAP), in the first quarter of 2023.

MaxLinear Cancels Acquisition of Silicon Motion

In a surprise move, Maxlinear has cancelled its close to US$4 billion takeover of Silicon Motion, despite having received approval by China to finally acquire Silicon Motion. The two companies started their merger back in May of 2022, but over a year later, Maxlinear has announced that it has "exercised its contractual rights to terminate its May 5, 2022 merger agreement". The announcement saw a drop in Maxlinear's shares of about 12 percent and a 25 percent drop for Silicon Motion.

It's unclear as to why Maxlinear cancelled the deal, but the two companies don't appear to have clear synergies outside some storage products. That said, Maxlinear appears to blame Silicon Motion in a press release that the company issues. Among other things, Maxlinear states that "Silicon Motion has suffered a Material Adverse Effect that is continuing, Silicon Motion is in material breach of representations, warranties, covenants, and agreements in the Merger Agreement that give rise to the right of the Company to terminate". As to what this actually means, we'll most likely never find out, but as Maxlinear also points out, the merger was supposed to have been finished by the 23rd of May 2023, which means Maxlinear had the right to cancel the merger regardless.

MaxLinear's 8-port 2.5 Gbps Switch is Tiny Single-chip Solution

TPU managed to get an early sneak peek of MaxLinear's recently announced 8-port 2.5 Gbps switch IC, ahead of Computex official start tomorrow. The MXL86280 is going to bring some serious competition to the 2.5 Gbps switch market, as thanks to it being a single chip solution that integrates the Ethernet MAC and PHY, costs can be kept lower than competing two chip solutions that have a separate MAC and PHY. Although we weren't giving exact pricing, we were told that the MXL86280 should allow for more affordable 2.5 Gbps switches than those available in the market today, but not quite as affordable as the equivalent Gigabit switch.

MaxLinear also appears to have been fortunate with their chip design, as everything was working at the first tape-out, which is less common than you'd think when it comes to advanced chips The MXL86280 will be the first in what is expected to be a series of 2.5 Gbps switch solutions from MaxLinear, as the company is planning to release 5- and 6-port solutions in the future, which the company is hoping to win business in the router market space with. The test board that the company will have on display during Computex also features a pair of 2.5 Gbps SFP+ ports, which should be ideal for those with older 2.5 Gbps routers, cable modems or GPON equipment that only has fibre outputs. That said, the exact design of retail products might differ, so we'll have to wait and see what kind of products launch next year based on the MXL86280.

MaxLinear Expands its Diverse Ethernet Portfolio with 2.5G Ethernet Switches and Eight Port 2.5G Enterprise PHYs

With new access technologies like xGPON and new Wi-Fi standards increasing the demand for higher LAN bandwidth, gigabit Ethernet is giving way to 2.5G Ethernet which can extend the bandwidth over existing CAT5e cable infrastructure by a factor of 2.5 comparatively. According to 2022 research by Allied Market Research, the global ethernet switch market was valued at $17.2 billion in 2021, and is projected to reach $26.1 billion by 2031, growing at a CAGR of 4.4% from 2022 to 2031. The rising demand for effective network infrastructure for varied application requirements is expected to contribute to this growth.

For the fourth quarter of 2022, net income (non-GAAP) decreased to $41.1 million, or $1.22 per diluted ADS (non-GAAP), from net income (non-GAAP) of $51.2 million, or $1.53 per diluted ADS (non-GAAP), in the third quarter of 2022.

Silicon Motion Shareholders Approve MaxLinear Merger at EGM

MaxLinear, Inc, a leading provider of radio frequency (RF), analog and mixed-signal integrated circuits, and Silicon Motion Technology Corporation (NasdaqGS: SIMO) ("Silicon Motion"), a global leader in NAND flash controllers for solid state storage devices, today announced that at Silicon Motion's extraordinary general meeting (the "EGM") of shareholders, held on August 31, 2022, shareholders of Silicon Motion approved the previously announced merger agreement under which MaxLinear will, subject to the terms and conditions thereof, acquire Silicon Motion, and approved other proposals related to the transaction.

More specifically, at the EGM, securityholders of Silicon Motion approved, by the requisite vote, the acquisition of Silicon Motion by MaxLinear, including the approval of: (a) the Agreement and Plan of Merger, dated May 5, 2022 (as it may be amended from time to time, the "Merger Agreement"), by and among MaxLinear, Shark Merger Sub, an exempted company incorporated and existing under the laws of the Cayman Islands and a wholly-owned subsidiary of MaxLinear ("Merger Sub"), and Silicon Motion, pursuant to which Merger Sub will merge with and into Silicon Motion with Silicon Motion continuing as the surviving company and becoming a wholly-owned subsidiary of MaxLinear (the "Merger"); (b) the plan of merger required to be filed with the Registrar of Companies in the Cayman Islands; (c) the Merger itself, on the terms and subject to the conditions set forth in the Merger Agreement; and (d) all other transactions and arrangements contemplated by the Merger Agreement.

MaxLinear to Acquire Silicon Motion, a major SSD controller manufacturer

MaxLinear, Inc. a leading provider of radio frequency (RF), analog and mixed-signal integrated circuits for broadband, connectivity, and infrastructure markets, and Silicon Motion, a global leader in NAND flash controllers for solid state storage devices, announced today that they have entered into a definitive agreement under which MaxLinear will acquire Silicon Motion in a cash and stock transaction that values the combined company at $8 billion in enterprise value. In the merger, each American Depositary Share (ADS) of Silicon Motion, which represents four ordinary shares of Silicon Motion, will receive $93.54 in cash and 0.388 shares of MaxLinear common stock, for total per ADS consideration of $114.34 (based on MaxLinear's May 4, 2022 closing price). The strategic business combination is anticipated to drive transformational scale, create a diversified technology portfolio, significantly expand the combined company's total addressable market, and create a highly profitable cash generating semiconductor leader.

Upon completion of the acquisition, the combined company will have a highly diversified technology platform with strong positions across the broadband, connectivity, infrastructure, and storage end markets. The combination of MaxLinear's RF, analog/mixed-signal, and processing capabilities with Silicon Motion's market leading NAND flash controller technology completes a total technology stack which fully captures end-to-end platform functionality and accelerates the company's expansion into enterprise, consumer, and many other adjacent growth markets. Combined revenues are expected to be more than $2 billion annually and are supported by the technology breadth to address a total market opportunity of roughly $15 billion.

MaxLinear Expands Portfolio of Industrial Ethernet Products with a Quad-Port 2.5GBase-T PHY and 1GBase-T Switches

Today MaxLinear announced the immediate availability of two 1000BASE-T Ethernet Switches (GSW125, GSW145) and a quad-port 2.5GBASE-T PHY (GPY245), expanding its Ethernet product portfolio to better serve the industrial, telecommunications, and networking outdoor markets, where products must perform efficiently in harsh temperature environments. With the increase of outdoor Wi-Fi access points, Industrial IoT and Industrial PCs used to collect, monitor and control equipment, products must operate in either high heat or frigid cold environments. Extreme temperatures can impact network operation, data transmission, and system reliability, causing interruptions and downtime, leading to security risks and costly emergency repairs.

Intel Sheds Extra Weight: Selling Home Gateway Division Assets to California-based MaxLinear for $150 Million

Intel is looking to further consolidate its product and services portfolio through the sale of its Home Gateway Platform Division to California-based connectivity infrastructure provider MaxLinear for $150 million. The move comes in the wake of CEO Bob Swan's efforts to reduce Intel's expenses on markets that aren't showing the needed returns to justify the increased investment in engineering and distribution - as with everything, there is associated opportunity cost with every product division that isn't up to the task. And in this case, the task was always daunting, with Intel's Home Gateway Platform Division (whose efforts center around system-on-a-chip (SoC) products for home gateways, Wi-Fi access points and Ethernet) competing with the likes of Qualcomm and Broadcom.

This comes after Intel already sold its cellular modem business to Apple on the rationale that it wouldn't "have provided attractive returns." An Intel spokesperson clarified that the sale of the Home Gateway Platform Division represents "a majority of the assets from Intel's Home Gateway Platform Division but not all of them." Intel expects most jobs directly impacted to find alternatives under the new MaxLinear umbrella, or though an internal Intel reshuffling. Intel is choosing to refocus on high-margin markets over which it already has ascendance, instead of trying to diversify - in this case - towards the cutthroat mobile and home gateway markets.
