Lenovo and Google announced today that Lenovo's acquisition of Motorola Mobility from Google is complete. The acquisition of the Motorola brand and Motorola's portfolio of innovative smartphones like Moto X, Moto G, Moto E and the DROID series, as well as the future Motorola product roadmap, positions Lenovo as the world's third largest maker of smartphones.

Lenovo will operate Motorola as a wholly-owned subsidiary. Motorola's headquarters will remain in Chicago. With the completion of the acquisition, Lenovo welcomes the addition of a new portfolio company with nearly 3,500 employees around the world - including about 2,800 in the U.S. - who design, engineer, sell and support Motorola's outstanding devices.

Microsoft Corp. announced on Monday a patent licensing agreement with Motorola Solutions, Inc., a leading provider of communication solutions and services for enterprise and government customers. The license provides worldwide coverage under Microsoft's patent portfolio for Motorola Solutions' devices running the Android platform and Chrome OS operating system.

"Microsoft and Motorola Solutions share a respect for intellectual property and a commitment to fair and reasonable patent licensing programs," said Nick Psyhogeos, general manager, associate general counsel, IP licensing of the Innovation and Intellectual Property Group at Microsoft. Google Inc. today announced financial results for the quarter ended September 30, 2013.

Q3 Financial Summary
Google Inc. reported consolidated revenues of $14.89 billion for the quarter ended September 30, 2013, an increase of 12% compared to the third quarter of 2012. Google Inc. reports advertising revenues, consistent with GAAP, on a gross basis without deducting traffic acquisition costs (TAC). In the third quarter of 2013, TAC totaled $2.97 billion, or 24% of advertising revenues.

The demands on network bandwidth are dramatically increasing, and Motorola Solutions, Inc. Microsoft's legal battle with Motorola has taken another large step towards a console ban, but the company could still narrowly avoid that fate. Judge David Shaw recommended to the International Trade Commission (ITC) that Microsoft be given a cease-and-desist order on sales of the Xbox 360 slim model in the US. He also recommended ceasing Chinese imports of the systems, and a payment of 7% of the value of unsold systems in stores. Courthouse News Service (via Develop) reports that the ITC can now choose to let that determination stand, in which case it becomes the official stance of the ITC. Alternately, the commission could amend some terms, or send it back for a rewrite. If it does adopt Shaw's recommendation, President Barack Obama will have 60 days to review the decision, after which it would have to be appealed to the Court of Appeals for the Federal Circuit. This follows a one-two punch against Microsoft in this case, after Motorola won its patent ruling, and was subsequently hit with a German sales injunction -- which won't go into effect until the US case is settled. Motorola claims a technology used across several Microsoft devices, but Microsoft alleges that Motorola demanded an unreasonable licensing fee for the patents.

Microsoft has argued that banning consoles would not serve the public interest, but Shaw claimed that enforcing property rights takes precedence. Though Microsoft could still potentially appeal, the threat of a ban is more real now. Either way, this likely isn't something Microsoft wants hanging over its head as we approach E3.

Earlier this morning, Mannheim Regional Court in Germany granted Motorola a sales injunction against Microsoft's Xbox 360, Windows 7, Internet Explorer, and Windows Media Player. It's no more a question of "if", but "when" the judgement will be enforced. When that happens, Motorola can insist on pulling those products off the German market. Motorola holds two technology patents this case is built around: EP0538667 and EP0615384, which are key to getting the H.264 video compression format to work. Motorola is obliged to license these patents to other under "fair, reasonable and non-discriminatory" (FRAND) terms, however, it demanded royalties from Microsoft that would amount to an excess of US $4 billion annually. Microsoft did not accept Motorola's terms, and knocked the doors of regulators claiming Motorola was being unfair and unreasonable with its patents. A case of patent infringement by Motorola is pending against Microsoft, but it is held up as authorities in the US are yet to ascertain Microsoft's allegations (of Motorola being anti-competitive).

The European Commission has opened two formal antitrust investigations against Motorola Mobility Inc. The Commission will assess whether Motorola has abusively, and in contravention of commitments it gave to standard setting organisations, used certain of its standard essential patents to distort competition in the Internal Market in breach of EU antitrust rules. The opening of proceedings means that the Commission will examine the cases as a matter of priority. It does not prejudge the outcome of the investigations.

Following complaints by Apple and Microsoft, the Commission will investigate, in particular, whether by seeking and enforcing injunctions against Apple's and Microsoft's flagship products such as iPhone, iPad, Windows and Xbox on the basis of patents it had declared essential to produce standard-compliant products, Motorola has failed to honour its irrevocable commitments made to standard setting organisations. In these commitments, Motorola engaged to license those standard-essential patents on fair, reasonable and non-discriminatory (FRAND) terms. The Commission will examine whether Motorola's behaviour amounts to an abuse of a dominant market position prohibited by Article 102 of the Treaty on the Functioning of the EU (TFEU).

Today Fox Business is reporting U.S. and European regulators approved Google Inc's $12.5 billion purchase of Motorola Mobility on Monday and said they would keep a sharp eye on the web search giant to ensure patents critical to the telecom industry would be licensed at fair prices. The U.S. Justice Department also approved an Apple Inc -led consortium's purchase of a trove of patents from bankrupt Canadian company Nortel Networks.Both the Justice Department and European antitrust authorities said that they would monitor how patents are used to ensure they comply with antitrust rules. Antitrust enforcers on both sides of the Atlantic are concerned that patents essential to ensuring communications devices sold by different companies work together are licensed for a reasonable fee.

Apple seems to have a revolving door for legal actions as of late. Today the Chicago Tribune is reporting Apple has asked a federal court in California to block Samsung from selling its new Galaxy Nexus smartphones, which use Google's newest version of Android, called Ice Cream Sandwich, alleging four patent violations including new features such as a voice-command search function.

Galaxy Nexus, the official debut of which was delayed by Samsung in October to pay respect to Apple's co-founder Steve Jobs, is the first phone running on the newest Android version before the platform is widely adopted by hardware manufacturers such as HTC Corp and Motorola Mobility. HTC and Motorola are also in separate patent disputes with Apple. In a lawsuit filed last week in San Jose, Apple said the Galaxy Nexus infringes on patents underlying features customers expect from Apple products. Those include the ability to unlock phones by sliding an image and to search for information by voice.

After many years of planning, work and investment, Intel is now finally looking ready to step up and challenge ARM in the smartphone space. Yesterday at CES 2012 Intel announced that not one but two major companies - Lenovo and Motorola, will be using its 32 nm Medfield SoC (System-on-chip) for smartphones and tablets coming out later this year.

Lenovo is set to kick off the Medfield game as soon as Q2 when it will release in China the K800 smartphone running Android 4.0 (Ice Cream Sandwich). The K800 is powered by a 1.6 GHz (single-core/dual-threaded) Atom Z2460 chip, and features a 4.5-inch TFT touchscreen, an 8-megapixel rear-facing camera, 802.11 b/g/n WiFi, Bluetooth 3.0, and GPS. Lenovo's plans also include a 10-inch Android tablet that's likely also scheduled for a Q2 arrival.

Motorola Mobility Holdings, Inc. (NYSE: MMI) ("Motorola Mobility") today announced that it has received notice that the Administrative Law Judge ("ALJ") in the U.S. International Trade Commission ("ITC") action brought by Microsoft (NASDAQ: MSFT) against Motorola Mobility has issued an initial determination. The ALJ determined that Motorola Mobility does not violate six of the seven Microsoft patents listed in Microsoft's suit. The Company noted that Microsoft had previously dropped two patents from its original case which included nine patents.

"We are very pleased that the majority of the rulings were favorable to Motorola Mobility," said Scott Offer, senior vice president and general counsel of Motorola Mobility. "The ALJ's initial determination may provide clarity on the definition of the Microsoft 566 patent for which a violation was found and will help us avoid infringement of this patent in the U.S. market."

In a development that threatens to prevent Apple's European sales arm from selling 3G-enabled iPad and iPhone products, Motorola Mobility won an injunction against it in Germany. On the table was a key Motorola patent related to cellular data transmission, which is part of wireless data transmission standards that are obstructed by an agreement to license it on "fair, reasonable, and non-discriminatory" (FRAND) terms.

Motorola claimed that Apple was infringing this patent, to which, Apple responded by putting up a FRAND defense (counter-accusing the patent-holder of not being fair/reasonable/non-discriminatory with licensing a patent that makes up an industry standard. The court ruling in Germany stated that raising a FRAND defense against standards-essential patent infringement claims could be a difficult proposition, and may force Apple to accept Motorola's licensing terms-FRAND or not-for "past infringement." Apple won similar FRAND defenses against Samsung, in the past, in other European countries such as The Netherlands and France.

Google Inc. (NASDAQ: GOOG) and Motorola Mobility Holdings, Inc. (NYSE: MMI) today announced that they have entered into a definitive agreement under which Google will acquire Motorola Mobility for $40.00 per share in cash, or a total of about $12.5 billion, a premium of 63% to the closing price of Motorola Mobility shares on Friday, August 12, 2011. The transaction was unanimously approved by the boards of directors of both companies.

The acquisition of Motorola Mobility, a dedicated Android partner, will enable Google to supercharge the Android ecosystem and will enhance competition in mobile computing. Motorola Mobility will remain a licensee of Android and Android will remain open. Google will run Motorola Mobility as a separate business.

NVIDIA (NASDAQ: NVDA) today reported revenue of $1.02 billion for the second quarter of fiscal 2012 ended July 31, 2011, up 5.7 percent from the prior quarter, and up 25.3 percent from $811.2 million in the same period a year earlier. On a GAAP basis, the company recorded net income of $151.6 million, or $0.25 per diluted share, for the second quarter of fiscal 2012. This includes a two-cent dilutive impact from the Icera acquisition. It compares with net income of $135.2 million, or $0.22 per diluted share, in the prior quarter. In the same period a year earlier, the company had a net loss of $141.0 million, or $0.25 per diluted share.

On a non-GAAP basis -- which excludes stock-based compensation, amortization of acquisition-related intangible assets, other acquisition related costs, and the tax impact associated with these items -- net income was $193.5 million, or $0.32 per diluted share. That compares with net income of $165.7 million, or $0.27 per diluted share, in the prior quarter, and net income of $47.6 million, $0.08 per share, in the same period a year earlier.

AMD (NYSE: AMD) today announced it has appointed Mike Wolfe, age 52, as the company's chief information officer. He brings more than 30 years of engineering and information technology experience, most recently as vice president of IT for product development and engineering at HP for the last five years. Wolfe will be responsible for managing AMD's global technology infrastructure and will report to Thomas Seifert, senior vice president and chief financial officer and interim CEO.

"Mike has effectively led IT transformations, constantly focusing on reducing operating costs and significantly improving business innovation," said Seifert. "His considerable talent and experience will help AMD to continue strengthening our IT infrastructure and streamline our business based on our own products and platforms."

Motorola Inc. on Wednesday warned of a Q2 loss and said it no longer expected its mobile phone business to be profitable this year, blaming weak sales in Asia and Europe.
The warning came at the end of a day when Motorola shares had risen as much as 3 percent on rumors that its chief executive, Ed Zander, could resign amid a campaign by an activist shareholder to oust him.
