AMD Reports 2015 Third Quarter Results

AMD today announced revenue for the third quarter of 2015 of $1.06 billion, operating loss of $158 million, and net loss of $197 million, or $0.25 per share. Non-GAAP operating loss was $97 million and non-GAAP net loss was $136 million, or $0.17 per share. GAAP and non-GAAP results include a $65 million inventory write-down and the impact of this charge to loss per share was $0.08.

"AMD delivered double-digit percentage sequential revenue growth in both of our segments in the third quarter," said Dr. Lisa Su, AMD president and CEO. "We continue to take targeted actions to improve long-term financial performance, build great products and simplify our business model. The formation of a joint venture of our back-end manufacturing assets is a significant step towards achieving these goals and strengthening our balance sheet."
Q3 2015 Results
  • Revenue of $1.06 billion, up 13 percent sequentially and down 26 percent year-over-year. The sequential increase was due to solid seasonal semi-custom and strong desktop processor and GPU sales. The year-over-year decline was primarily due to decreased sales in the Computing and Graphics segment.
  • Gross margin of 23 percent, down 2 percentage points sequentially, due to an inventory write-down of $65 million. Non-GAAP(1) gross margin, including the impact of the inventory write-down was 23 percent, down 5 percentage points sequentially. The inventory write-down was due to lower anticipated future demand for older-generation APUs. The gross margin impact of the inventory write-down was 6 percentage points.
  • Operating loss of $158 million, compared to an operating loss of $137 million for the prior quarter. Non-GAAP(1) operating loss of $97 million, compared to non-GAAP(1) operating loss of $87 million in Q2 2015, primarily due to lower gross margin.
  • Net loss of $197 million, loss per share of $0.25, and non-GAAP(1) net loss of $136 million, non-GAAP(1) loss per share of $0.17, compared to a net loss of $181 million, loss per share of $0.23 and non-GAAP(1) net loss of $131 million, non-GAAP(1) loss per share of $0.17 in Q2 2015. The impact of the inventory write-down to EPS was $0.08.
  • Cash and cash equivalents were $755 million at the end of the quarter, down $74 million from the end of the prior quarter, due primarily to a $69 million debt interest payment.
  • Total debt at the end of the quarter was $2.26 billion, flat from the prior quarter.
Financial Segment Summary
  • Computing and Graphics segment revenue increased 12 percent sequentially and decreased 46 percent from Q3 2014. The sequential increase was primarily due to higher sales of desktop processors and GPUs and the annual decrease was driven primarily by lower client processor sales.
    o Operating loss was $181 million, compared with an operating loss of $147 million in Q2 2015 and an operating loss of $17 million in Q3 2014. The sequential change was primarily driven by an inventory write-down of older-generation products partially offset by higher revenue. The year-over-year change was primarily driven by lower sales.
    o Client processor average selling price (ASP) decreased sequentially and year-over-year primarily driven by lower notebook processor ASP.
    o GPU ASP was flat sequentially and increased year-over-year. The year-over-year change was due to new GPU product offerings and improved AIB ASP.
  • Enterprise, Embedded and Semi-Custom segment revenue increased 13 percent sequentially, primarily driven by seasonally higher sales of our semi-custom SoCs. The year-over-year decrease of 2 percent was primarily driven by lower embedded product and server processor sales.
    o Operating income was $84 million compared with $27 million in Q2 2015 and $108 million in Q3 2014. The sequential increase was primarily due to the absence of the $33 million charge associated with a technology node transition in Q2 2015 and higher sales. The year-over-year decrease was primarily driven by a portion of the Q3 2015 inventory write-down and product mix.
  • All Other category operating loss was $61 million compared with operating losses of $17 million in Q2 2015 and $28 million in Q3 2014. The sequential and year-over-year increases were due to restructuring charges recorded in Q3 2015.
ATMP Manufacturing Facilities Joint Venture
As a part of AMD's ongoing strategic plan to sharpen its focus on designing high-performance technologies and products that drive profitable growth, AMD today announced the signing of a definitive agreement to create a joint venture with Nantong Fujitsu Microelectronics (NFME) that combines AMD's high-volume ATMP facilities and experienced workforce in Penang, Malaysia and Suzhou, China with NFME's established outsourced semiconductor assembly and test (OSAT) expertise to offer differentiated capabilities and scale to service a broad range of customers.

The value of the transaction is $436 million and NFME will take an 85 percent ownership of the joint venture. AMD will receive $371 million in cash and expects net proceeds of approximately $320 million, net of taxes and other charges at close. This transaction is expected to close in the first half of 2016, pending successful completion of regulatory approvals.

If AMD continues going into the red like this they will be out of cash sometime in 2016 and will need to borrow more. They already owe a lot more than they are worth and it's going to be increasingly hard to borrow more. Then they are going to have to come up with $600 million in 2019 to pay off a chunk of their debt. AMD is spiraling down a black hole of debt.

I know everyone is hoping that Zen will turn things around for them but I will go ahead and say it again that Zen will not turn things around for them alone. Even if Zen outperforms what Intel has at the time it will not turn things around for AMD alone. People who keep up with tech and build their own rigs are a small percentage of the market. The lion's share of profit is made in business desktops, laptops, servers and pre-built PCs for personal use. That's where AMD needs to increase market share. Hopefully Lisa Su is seriously focused on doing just that. It does no good for AMD to have great chips if they can't sell them at a decent profit to PC manufacturers.

And I did say at a decent profit. I remember when AMD got the contracts for supplying all three console manufacturers with their chips and some people thought that would help AMD. That doesn't seem to be the case. They are losing more money today than they did before the console contracts. They will have to not only sell Zen and their other chips to PC manufacturers, they will have to sell them at a decent profit.

At least people which tried to help the underdog, will still have some support for their GPUs.

I don't think AMD GPU owners have much to worry about as far as driver support going forward. AMD split their GPU division off into a separate business called Radeon Technologies Group. After working so hard to integrate their CPU and GPU divisions for so long I suspect there is a reason that they did that. It would make it easier to sell their GPU division that way if they absolutely had to. I would think the software programmers would go with the new company so driver support shouldn't be an issue. If they did sell it and a corporation with piles of cash to invest bought Radeon Tech and invested in some R&D and marketing then they could take back a good bit of market share from Nvidia. That would be a good thing for all of us whether we like Nvidia GPUs or AMD GPUs or both.

I wouldn't say buying ATi was a bad idea. ATi did't ruin AMD, piss poor marketing and expecting developers to write software just for AMD did. The APU's are the only thing hold AMD from falling further into the red. They needed ATi for that.

I miss AMD 4 x 4 days. The market was competitive back then. I actually purchased 4 x 4 platform. I wasn't on TPU during that period however. I was on Xtremesystems.

It was a HORRIBLE move! Not because they did it. Buying ATI on it's face was good, it was the hugely overpriced purchase that was a bad idea. Combined with generally bad ideas on running a business, they still have that debt around their neck like a millstone while they attmpt to tread water.

I was on another forum. I was optimistic when I first saw the news but questioned whether or not AMD could afford ATI.

By 2007, I was already skeptical AMD could survive.

AMD did indeed overpay for ATI. I think that was when AMD mostly set into motion their own demise. At the time of the purchase (July 24th 2006) AMD was trading for $19.10 a share with a market cap of $14.9 billion dollars. A year later they were down to $13.87 a share and a market cap of $10.8 billion dollars. A year after that they plummeted to $4.36 a share and a market cap of $3.4 billion dollars. They have had some ups and downs through the years but the general trend has been downward. Today AMD is trading for $1.91 a share with a market cap of about 1.49 billion dollars.

They paid $5.4 billion dollars to buy ATI and today the entire company is worth a little over 1/4 of what they paid for ATI.

How much do you think AMD is worth? Their market cap is the consensus view of the market. However, it is incredibly easy to prick that bubble, as the market is being stupidly pessimistic. I'll illustrate how. Let's say, since we're speculating, that AMD's Radeon graphics division is worth just HALF of what nVidia is worth. After all, they're both world-leading GPU design companies, and neither one of them is dramatically ahead of the other in terms of the key technologies, so you'd have to be really silly to argue that the Radeon division is worth LESS than half of nVidia. Suffice to say, I'm being incredibly conservative using just 50%. So 50% of nVidia's current market cap is $6 billion. Now, let's look at how much AMD's CPU division might be worth. I'll arbitrarily assign a value of $4 billion, as the x86, x86-64 technologies have got to be potentially very valuable IP to a company like Apple or Microsoft or Qualcomm, who might like to be able to design their own x86 processors. So we end up with a figure of ~$10 billion value for AMD. Subtracting the ~$2.2 billion of current debt, we're left with a figure of ~$7.8 billion. At this market cap, this would mean a share price of:

$7,800,000,000 / 779,180,000 shares outstanding = $10/share. That means that AMD, in a buyout scenario, would likely be worth about $10/share. Currently it's trading ~$2.00/share. The reason for this is that most investors are waiting to see if the Zen processor will be good. Pretty soon, engineering samples will be benchmarked and those benchmarks will leak. Once we see these benchmarks, we will either see AMD suddenly appreciate in value (if they're good), or, we'll see AMD's share price remain in a holding pattern approximately where it is now. At some point, any other company that is interested in buying them will have to consider doing it soon, as the x86 license/x86-64 cross-license agreement with Intel will be extinguished by bankruptcy. This means that anyone interested in buying it had better do it sooner rather than later.

AMD spent all their cash as well as a big loan on acquiring ATI. On top of that, and the bigger problem going forward, Intel had Core 2 Duo out in 2006 and AMD had no effective response (Bulldozer) until 2011. Core i7 debuted in 2008. Bulldozer may have been able to compete with Core 2 Quad but not Core i7...and the i7s kept coming, and coming, and coming.

So not only was AMD poor, they had no competitive product either. It was a one-two punch that AMD has yet to recover from.

I always ask myself this rhetorical question: What if AMD, instead of buying out ATI, invested that money in improving their fabrication process, would AMD be in a much stronger position today?

Dang, reading through that thread is depressing. AMD could have really used those 5.4 billion to reinvest in itself; hire more engineers and physicists and really work on their next gen cpu architecture.

Instead AMD bought ATI wasting a ton of money. Then both companies proceeded to waste booku money trying to produce all sorts of integrated crap and merging together. In hindsight both AMD and ATI would have done way better on their own. ATI already had HD 48xx cards designed and in the pipeline, so the 2900XT disasster wouldn't have impacted them much. As for AMD, using up so much money on ATI left no spare cash for R&D to compete with Intel's flood of i7 chips.

Intel's non stop tick-tock refresh strategy was akin to neverending Zerg rushes in Starcraft; "They just keep coming man!"

I don't think they would be better off even if they did not purchase ATI. Which was perhaps why they risked going into GPU market. Of course, obviously it did not work out.

Regardless, I do not think AMD would be doing any better even if they did not purchase ATI.

I don't think so. One billion $ can buy you a lot of top engineers and specialists for a year; 6250, if you want to pay them 160k a year without benefits & insurance included.

What would have happened if AMD had just licensed ATI's IP (kept their $2.3bn in cash and not taken out $2bn in loans), and extended their original relationship with UMC ? UMC had Xilinx as their main customer at the time and were in desperate need of a large prestige customer since IBM and SMIC were gearing up to snatch away UMC's market share, and UMC did have 10 fabs at the time- including two new 12" wafer fabs (one a JV with Infineon/UMCi). Instead AMD overextended itself with the Dresden money pit that sucked their cash reserves dry.

What might have been...

Dreaded auto analogy: AMD as Formula 1 team - IP (acquired and developed) is the engine, Engineers are the drivetrain, Stevie Wonder (AMD BoD) is the driver.
