UK Regulator Provisionally Approves Microsoft & Activision Blizzard Deal

Microsoft's proposed $69 billion takeover of Activision Blizzard got the "go ahead" from the vast majority of regulatory bodies around the world, but the UK's Competition and Markets Authority (CMA) ultimately chucked a spanner into the works—consequently the deal's signing off date was delayed into the autumn. The top brass at Microsoft and Acti-Blizz have worked on a revised set of terms (to address concerns raised earlier this year), and the outcome has been semi-positive. The competition watchdog appears to be satisfied, prior to making a concrete announcement: "While the CMA has identified limited residual concerns with the new deal, Microsoft has put forward remedies which the CMA has provisionally concluded should address these issues. The CMA is now consulting on the remedies before making a final decision."

Under the newly redrafted deal—submitted for approval last month—Microsoft has agreed to transfer the rights to stream Activision games from the cloud to French video games publisher—Ubisoft—for a 15 year long term. The CMA's freshly published press release provides an insight into future infrastructures: "Under that new deal, Microsoft will not purchase the cloud gaming rights held by Activision, which will instead be sold to an independent third party, Ubisoft Entertainment SA (Ubisoft), before the deal is completed. The prior sale of the cloud gaming rights will establish Ubisoft as a key supplier of content to cloud gaming services, replicating the role that Activision would have played in the market as an independent player."

Diablo IV to Adopt Annual Expansion Model

Rod Fergusson, general franchise manager of Blizzard Entertainment's Diablo IP, has confirmed that IV's post-release content release model is set for some adjustments—in an interview, conducted by Dextero, he said: "When you look at the launch of the game and this first season, we see that as building a foundation on which we can build for the future. So, as we look at our quarterly seasons, and we look at our annual expansions, those are the things that we're really focused on for our live service." Several media outlets have jumped on Fergusson's statement—comparisons have been made to Bungie's approach to keeping online multiplayer franchises alive for a long time. Paul Tassi (via Forbes) pointed out that Diablo IV's leadership is pushing for the: "exact same model as Destiny 2."

Sections of the fan base have not yet warmed to this more live service-heavy content model, when compared to previous entries in the long-running ARPG series. Past reports have cited Blizzard's continued recruitment drive to bolster these efforts, albeit only for seasonal DLC. The annual release model is very much a fresh announcement, and Fergusson stopped short of revealing pricing and exact launch windows: "We've got plans, we have storylines that go well into the future. When you look back and realize that there were 11 years between Diablo III and Diablo IV, that feels like we didn't live up to our players, our community, and what they deserve. That's something we are rectifying in D4 with our seasons and our expansions."

Diablo IV has Attracted over 12 Million Players

During last week's Gamescom presentation of Diablo IV's upcoming Season of Blood (due October 17), Rod Fergusson—general manager of the franchise—announced that the game's user base had surpassed 12 million. He also proudly declared that the active population has spent around 1.3 billion hours playing the extremely popular, and evidently highly addictive, action RPG. Number crunchers estimate that this works out as 100+ hours (on average) per player. Blizzard Entertainment and Activision have chosen to not release official sales figures for Diablo IV, but Fergusson's disclosure provides us with a rough picture of how well the game has sold since launching on June 5 across multiple platforms. It should be noted that the fourth entry in the long-running series has not been released via game subscription platforms.

Blizzard Entertainment has started teasing the second season of new content: "At the behest of their dark master, a newly turned army of ravenous vampires has set their sights on Sanctuary. The master's sinister plot remains a shrouded mystery but their pursuit for the blood of innocents has caused an uproar. You must learn to hunt the hunter—your fate depends on it. Season of Blood will introduce a new Questline for you to uncover, Vampiric Powers to wield against their originators, 5 additional endgame bosses with the ability to target specific Unique and Uber Unique items as a drop, and more."

Microsoft & Activision Blizzard Delay Merger Deadline to October

Microsoft and Activision Blizzard have announced the postponement of their agreed merger deadline—from July 18 (yesterday) to mid-October. This will grant them more time to deal with a sticky issue presented by the UK's Competition and Markets Authority blocking of the proposed $75 billion acquisition—on the grounds of potential deleterious effects within the cloud gaming market. Xbox boss, Phil Spencer made a short statement on the matter earlier today: "Microsoft and Activision Blizzard have extended the merger agreement deadline to 10/18. We're optimistic about getting this done, and excited about bringing more games to more players everywhere."

Lulu Cheng Meservey, CCO and EVP Corporate Affairs at Activision Blizzard, stated: "The recent decision in the U.S. and approvals in 40 countries all validate that the deal is good for competition, players, and the future of gaming. Given global regulatory approvals and the companies' confidence that CMA now recognizes there are remedies available to meet their concerns in the UK, the Activision Blizzard and Microsoft boards of directors have authorized the companies not to terminate the deal until after October 18. We're confident in our next steps and that our deal will quickly close."

Nasdaq Set to Remove Activision Blizzard from Stock Exchange Top 100

Nasdaq, the American stock exchange, has revealed that an unnamed company will be replacing Activision Blizzard within its top 100 index. The timing of this development is raising some eyebrows—it is set to occur mere days after the announcement of Microsoft's victory over the US Federal Trade Commission (FTC). The giant American technology corporation is closing in on its proposed acquisition of a games publishing group comprised of Activision, Blizzard Entertainment, and King Digital Entertainment.

Prior to the market opening next week (Monday 17th July) Activision Blizzard will be removed from the Nasdaq-100 ESG Index, although the company will remain tradable. An upcoming exit from the US stock exchange could signal that Microsoft and Activision Blizzard have become increasingly confident about the finalization of their merger before a July 18 deadline. The UK's Competition and Markets Authority (CMA) is reported to be engaging in discussions with involved parties, and has paused its legal proceedings. The FTC yesterday filed for an appeal against the California court's verdict, thus immediately annoying the top brass at Microsoft/Xbox—president Brad Smith commented on the situation: "The District Court's ruling makes crystal clear that this acquisition is good for both competition and consumers...We're disappointed that the FTC is continuing to pursue what has become a demonstrably weak case, and we will oppose further efforts to delay the ability to move forward."

The malignancy that's taken hold of the Burning Hells' armies cannot remain unchecked—you must snuff it out at the source before all of Sanctuary becomes its thrall.

Microsoft Closer to Finalizing Activision Blizzard Merger - FTC Injunction Request Rejected by US Judge

Microsoft is closing in on its proposed $69 billion acquisition of Activision Blizzard—the company is celebrating another victory, following the conclusion of a crucial court case against the US Federal Trade Commission (FTC). Both parties were recently engaged in five days of arguments and deliberation—yesterday Judge Jacqueline Scott Corley's final ruling stated: Microsoft's acquisition of Activision has been described as the largest in tech history. It deserves scrutiny. That scrutiny has paid off: Microsoft has committed in writing, in public, and in court to keep Call of Duty on PlayStation for 10 years on parity with Xbox. It made an agreement with Nintendo to bring Call of Duty to Switch. And it entered several agreements to for the first time bring Activision's content to several cloud gaming services."

The lady justice continued: "This Court's responsibility in this case is narrow. It is to decide if, notwithstanding these current circumstances, the merger should be halted—perhaps even terminated—pending resolution of the FTC administrative action. For the reasons explained, the Court finds the FTC has not shown a likelihood it will prevail on its claim this particular vertical merger in this specific industry may substantially lessen competition. To the contrary, the record evidence points to more consumer access to Call of Duty and other Activision content. The motion for a preliminary injunction is therefore DENIED."

Blizzard President Denies that Diablo IV is Destined for an Xbox Game Pass Release

Blizzard Entertainment has once again refuted claims that their blockbuster (online only) action role-playing game, Diablo IV, is coming to Xbox Game Pass at some point in the future. PicPay, a Brazilian payment app, has been displaying adverts presenting Blizzard's latest ARPG as a current prospect on the Microsoft game subscription service. Blizzard boss Mike Ybarra was quick to shoot down this rumor as it hit news site—in a reply to Game Pass Tracker (on Twitter) he succinctly stated: "This is not happening." A couple of media outlets are now reporting that the Diablo IV advertising banners have been removed from the PicPay app.

Ybarra's career includes a twenty year stint at Microsoft—he was Corporate Vice President of Gaming prior to joining Blizzard Entertainment back in 2021. His former colleague—Xbox boss Phil Spencer—made clear (last September) his company's ambitions for several Acti-Blizz franchises, under conditions of a successful acquisition of the publishing group: "We intend to make Activision Blizzard's much-loved library of games - including Overwatch, Diablo and Call of Duty - available in Game Pass and to grow those gaming communities." Microsoft is inching closer to finalizing the proposed merger, so it will be interesting to see whether Blizzard will break with tradition when the new management steps in.

US Judge Temporarily Blocks Microsoft's Acquisition of Activision Blizzard

The US Federal Trade Commission (FTC) filed an injunction earlier this week, in a renewed effort to temporarily block Microsoft's $69 billion bid for full ownership of the Activision Blizzard group. A judge has today granted the regulatory body's request. The court has issued a temporary restraining order—in which it states the legal measure "is necessary to maintain the status quo while the complaint is pending." The FTC proposes that the acquisition has the potential to "substantially lessen competition" within North America's gaming sector. Microsoft and Activision are required to attend a two-day hearing—scheduled for 22 June in San Francisco, California.

The FTC had previously penciled in an August 2 session with an internal administrative judge, following the expiration of Microsoft's proposed deadline (July 18) for the merger. A company spokesperson (commenting to Eurogamer) expressed that leadership was happy about the FTC's decision to bring proceedings forward in time: "Accelerating the legal process in the US will ultimately bring more choice and competition to the gaming market. A temporary restraining order makes sense until we can receive a decision from the Court, which is moving swiftly." The legal document outlines terms including the prevention of "any of their officers, directors, domestic or foreign agents, divisions, subsidiaries, affiliates, partnerships, or joint ventures from closing or consummating, directly or indirectly, the proposed transaction or a substantially similar transaction."

Diablo IV is Blizzard Entertainment's Fastest Selling Game of All Time

Diablo IV, the highly anticipated new installment of the iconic Diablo series, is now live. Already, it is Blizzard Entertainment's fastest-selling game of all time, with Blizzard's highest pre-launch unit sales ever on both console and PC. In the four days since early access started on June 1, Diablo IV has been played for 93 million hours, or over 10,000 years - the equivalent playing 24 hours a day since the beginning of human civilization. Diablo IV features cross-platform play and cross-progression on Windows PC, Xbox Series X|S, Xbox One, PlayStation 5, PlayStation 4, plus up to four player co-op, including two player couch co-op on consoles.

"This is a moment years in the making for the Diablo IV team," said Rod Fergusson, general manager of Diablo. "We're extremely proud to offer players the richest story ever told in a Diablo game. Players have a range of choices, including personal character customization, equipping personalized skills for battling horrific demons, or collecting Legendary loot to support your playstyle while discovering new ones. Since the game was first announced in 2019, the support from millions of players around the world drove us toward this release of our dark vision of Sanctuary. Hail Lilith, Blessed Mother."

Two Diablo IV Expansions in Development at Blizzard

The Diablo franchise's general manager Rod Fergusson appeared on the Kinda Funny Xcast last week, only a few days before the fourth game's full launch - episode 140's interview segment focused on Blizzard's final preparations and post-game content (seasonal and possible DLC) calendar. Fergusson indicated that his team was very busy and will have more work to do: "As I sit here we're about to launch the main game, we're finishing up season one, we're working on season two, we're working on expansion one, we're kicking off expansion two…we're working on that now and we haven't even launched the game."

Blizzard Entertainment received much criticism for its slow and sparse trickle out of seasonal material for Diablo III, and Fergusson is keen to not repeat similar post-launch patterns with the latest entry in a very long running series (the first game debuted back in January 1997!). Diablo IV has been built with a live-service format in mind - thus allowing for greater and more substantial content to be delivered over seasonal time periods. Blizzard is likely aiming to compete with the likes of Bungie (Destiny 2) in terms of keeping an online game alive for a while - Fergusson outlines a key goal for his team: "We're going to be supporting Diablo 4 for years to come - (with) very rich seasons, much richer than we had in Diablo 3."

Chinese Antitrust Regulators Approve Microsoft's Activision Blizzard Acquisition

There were rumblings late last week about China's competition regulatory bodies giving Microsoft the go ahead for its proposed takeover of the Activision, Blizzard & King games publishing group. The crowd-sourced content site Seeking Alpha was the first online outlet to break the news last Friday - the author had learned from capital market firm - Dealreporter - that China's State Administration for Market Regulation had granted unconditional approval for the $68.7 billion bid, following the conclusion of a "Phase 3" investigation. The latest judgement arrived only a few days after the EU Commission's approval of the deal.

Microsoft has chosen to make an official announcement about this verdict - and has today released statements to several gaming news outlets, including GamesIndustry.biz and Eurogamer: "China's unconditional clearance of our acquisition of Activision Blizzard follows clearance decisions from jurisdictions such as the European Union and Japan, bringing the total to 37 countries representing more than two billion people. The acquisition combined with our recent commitments to the European Commission will empower consumers worldwide to play more games on more devices." Microsoft's next challenge sits with the US government's Federal Trade Commission (FTC) - a final deliberation is due this August.

Diablo IV Developer Outlines Accessibility Features

On June 6, a new plane of Hell will open, giving way to endless hours of demon-slaying fun in Diablo IV. The team saw this as an opportunity to improve the accessibility offerings within the game, and they took careful steps to ensure that every new feature added would break down barriers that kept players from playing—a flame that guided them all through development.

OUR GUIDING FLAME
"The only limitation to adventuring in Sanctuary should be interest, not capability," said lead accessibility designer Drew McCrory when the team began ideating on the game's potential accessibility features. Starting with the bedrock laid forth in Diablo II: Resurrected, the team began to construct accessibility features that struck a balance between being useful for players with disabilities while being careful not to mar gameplay for others. From there, the team continued to smooth out the rough edges of the features in their incubation tank until they provided additional usability without altering the core gameplay loop. What they were left with were accessibility options that empower as many players as possible.

EU Regulators Approve Microsoft's Activision Blizzard Acquisition

Microsoft's $68.7 billion deal to acquire Activision Blizzard has been approved by EU regulators today - rumors emerged late last week that the bloc's executive arm, the European Commission, would give the takeover bid a thumbs up this week, with early indications that May 15 would be the day of declaration. EU antitrust regulators have let the acquisition pass due to commitments/reassurances from Microsoft relating to the cloud gaming sector. This is in sharp contrast to the UK's Competition and Markets Authority (CMA) organization's judgment, who chose to block the deal in late April and have since added restrictions (as of late last week) via a new interim order.

EU antitrust regulators have found that Microsoft "would have no incentive to refuse to distribute Activision's games to Sony" and that "even if Microsoft did decide to withdraw Activision's games from the PlayStation, this would not significantly harm competition in the home gaming console market." But the European Union's competition regulators have found points of concern (much like the UK CMA's further investigations) and reckon that the segment could be disrupted in the area of cloud gaming services - on PC and console platforms. The body has received the promise of several remedies from Microsoft - these matters will be resolved through flexible terms - including a free license to consumers in EU countries that will grant stream access to "any cloud game streaming services of their choice" - with the ownership of Activision Blizzard PC and console titles (current and future). Cloud providers operating within EU markets will also be offered a free license to stream the Acti-Blizz library.

Diablo IV Developers Discuss Post-Launch Content

Over the last few months, we have communicated details about customization, Endgame offerings, moment-to-moment gameplay, and given players a first-hand taste of Sanctuary through Act I during our Early Access and Open Beta Weekends. But what about the post-launch experience, and how do we plan to increase the heat? We'll answer this question by explaining our approach to Seasons, Season Journeys, Battle Pass, and the Shop, and how they work in unison to enhance and diversify the robust campaign and Endgame offerings available to players at launch. There was also a Diablo IV Developer Update Livestream today (see below) that further expands on the aforementioned areas—give it a watch after reading this blog.

Because of this, we recommend you begin your pursuit of Lilith in advance so you can jump into the first Season as soon as it becomes available.

Microsoft and Nware Sign 10-Year Cloud Gaming Deal

Following the recent block of the Activision-Blizzard merger with Microsoft by the UK regulatory body, Microsoft is partnering with cloud gaming services to bring extra assurance to regulators that the merger will not harm any segment. Today, Microsoft's Vice Chain and President, Brad Smith, published a Tweet that highlighted the latest deal with Nware, a Spanish company providing cloud PCs to gamers that can stream games from Steam, EGS, and Ubisoft Connect accounts. The Tweet noted that "Microsoft and European cloud gaming platform Nware have signed a 10-year agreement to stream PC games built by Xbox on its platform, as well as Activision Blizzard titles after the acquisition closes. While it's still early for the emerging cloud segment in gaming, this new partnership combined with our other recent commitments will make more popular games available on more cloud game streaming services than they are today."

Microsoft Boss Continues Tirade Against UK Market Regulator, Following Blocking of Activision Blizzard Takeover

Brad Smith, vice chair and president at Microsoft has been doing the rounds with the UK press, and the incensed executive continues to express anger about the nation's Competition and Markets Authority (CMA) preventing his company's proposed buyout of Activision Blizzard. The UK antitrust watchdog yesterday blocked the deal on the grounds that a merging of (already massive) games publishers could result in a potentially catastrophic skew in Microsoft's favor within the fast growing cloud gaming market sector. The CMA's latest findings suggest that the takeover would "lead to reduced innovation and less choice for UK gamers over the years to come." This verdict comes as a major blow to Microsoft's gaming division following a number of victories - including Japan's competition regulator approving the takeover bid late last month. The company's gaming division (Xbox Game Studios) is awaiting verdicts from the EU commission and US Federal Trade Commission.

In a business-themed podcast interview (conducted by the BBC), Microsoft boss Brad Smith declared that the UK government's blocking of the merger represented a bad move "for Britain" in terms of attracting international business. Microsoft has been operating in country for four decades, and Smith casts doubt on that relationship - in his opinion - the mega corporation has experienced its "darkest day" in the region: "It does more than shake our confidence in the future of the opportunity to grow a technology business in Britain than we've ever confronted before. People are shocked, people are disappointed, and people's confidence in technology in the UK has been severely shaken." Smith insists that fledgling companies should look elsewhere to start a base of operations: "There's a clear message here - the European Union is a more attractive place to start a business than the United Kingdom."

Microsoft Activision Blizzard Merger Blocked by UK Market Regulator Citing "Cloud Gaming Concerns"

The United Kingdom Competition and Markets Authority (UK-CMA) on Wednesday blocked the proposed $68.7 billion merger of Microsoft and Activision-Blizzard. In its press-releasing announcing its final decision into an investigation on the question of how the merger will affect consumer-choice and innovation in the market, the CMA says that the merger would alter the future of cloud gaming, and lead to "reduced innovation and less choice for United Kingdom gamers over the years to come." Cloud gaming in this context would be games rendered on the cloud, and consumed on the edge by gamers. NVIDIA's GeForce NOW is one such service.

Microsoft Azure is one of the big-three cloud computing providers (besides AWS and Google Cloud), and the CMA fears that Microsoft's acquisition of Activision-Blizzard IP (besides its control over the Xbox and Windows PC ecosystems), would "strengthen that advantage giving it the ability to undermine new and innovative competitors." The CMA report continues: "Cloud gaming needs a free, competitive market to drive innovation and choice. That is best achieved by allowing the current competitive dynamics in cloud gaming to continue to do their job." Microsoft and Activision-Blizzard are unsurprisingly unhappy with the verdict.

Report Suggests Microsoft to Demo Xbox Products at UK Government Endorsed Event, Coincides with Competition Watchdog Verdict

The Sky UK news network has gathered intel from industry and government sources about an industry event that is due to take place next week at a very famous location - 10 Downing Street - the residence of the UK's Prime Minister. Sky News has been informed that Microsoft has been invited to attend the showcase by the UK Interactive Entertainment (UKIE) industry organization - best described as the main trade body for the nation's games and interactive entertainment sector. The American technology behemoth is expected to display and demonstrate their Xbox gaming product range in front of top politicians and key entertainment industry figures. There is no mention of representatives from Sony Interactive Entertainment (SIE) being invited to attend in a similar capacity. The timing of this UKIE organized event (to take place on April 26) is highly controversial as it will coincide with the UK's Competition and Markets Authority's statutory deadline to deliver a Phase-2 verdict on Microsoft's proposed acquisition of Activision Blizzard.

The UK Competition and Markets Authority (CMA) regulatory body has already delivered a provisional approval of the aforementioned deal, but stated that it required more time to investigate the potential for irregularities in competition within the cloud gaming sector. The Phase-2 verdict, due to be delivered next week, is anticipated to include the antitrust watchdog's finalized judgement on cloud gaming market affairs. Sky's insider sources in the city of London have speculated that Microsoft could face a humiliating situation at the 10 Downing-hosted party, if by coincidence the CMA changes its opinion on the Activision Blizzard takeover bid. If the competition regulator stays consistent with its (earlier) provisional decision, Microsoft could be criticized for its extensive courting of government organizations - not only in the UK, but around the world.
